Who counts as an ultimate beneficial owner in Bahrain?

A UBO is a natural person who owns or controls, directly or indirectly, a percentage equal to or exceeding 10% of the capital or the voting rights of the registered entity. The key word is natural person: the exercise is about identifying the human being at the end of the chain, not the company that appears on the share register.

Does every company have to file a UBO declaration?

The requirement applies to entities registered in the commercial register, with entities licensed by the Central Bank of Bahrain treated separately under their own regime. If you hold a CR, you should assume the obligation applies and confirm your position rather than the reverse.

How often does the declaration need updating?

The details must be kept current and updated on an annual basis. Beyond the annual cycle, any change in ownership or control should be reflected, so a share transfer or restructure triggers an update rather than waiting for the next year.

What happens if we do not file, or the information is wrong?

Non-compliance can lead to suspension of the commercial registration for up to six months and daily administrative fines, with the total capped at BHD 100,000. In serious cases the entity can be struck from the commercial register. It is a disproportionate consequence for what is, in most cases, a straightforward filing.
